UTV launches audio cinema

UTV New Media Ltd, the digital arm of UTV Software Communications Ltd, has launched Audio Cinema here in the presence of two leading ladies of film ''Fashion'', Kangana Ranawat and Mugdha Godse alongwith the director Madhur Bhandarkar.

Stating Audio Cinema was a technological innovation, UTV New Media CEO T N Prabhu said yesterday it would provide a new listening experience to film buffs who could dial in from any part of the country and listen to the dialogues and narration of their favourite film for nearly an hour.

The caller should dial in at 505999555 from mobile or landline number anywhere from the country.

Initially dialogues of evergreen film ''Sholay'' and UTV's ''Fashion'' for Hindi listeners and Prem Loka (Kannada), Thalapati (Tamil) and Gang Leader (Telugu) would be available later the number of films would be increased.

The caller would have to pay for the usage and the rates wold be decided by service providers.

Mr Bhandarkar was elated as his film ''Fashion'' was pioneering for the movie-on-phone service. ''With the arrival of such new technology now we directors will have to work hard on the dubbing and the content of the dialogues in the film as the dialogues will be the main attraction for the listeners of this service,'' he added.

Mugdha Godse too felt proud for the selection of her film and said, Fashion is the first film of my career and it is the moment of proud for me as my film is a trend-setter in new technology and will reach to the listeners through dialogues.

UTV's 'The Happening' rakes in 61.5 mn in three days

UTV's foray into the mainstream Hollywood with "The Happening", has paid good dividends to the production house by raking in $31.5 million at the US box-office.

Written and directed by M. Night Shyamalan, the sci-fi thriller that revolves around a family on the run from a natural crisis that presents a large-scale threat to humanity, was released June 13.

Quoting the box-office collection figure from the Hollywood trade magazine "Variety", UTV stated that "The Happening", its first major collaborative venture with 20th Century Fox, has performed well at the world box-office. It has earned a revenue of $31.5 million at the US box-office in the first three days of its release.

"The Happening" was made on a budget of $55 million.

This, despite the fact that the movie did not receive a very favourable review from the US media. In addition, it has garnered $30 million from the rest of the world from 5,600 prints.

In Britain, with a collection of $3.4 million from 389 prints in three days, the film has been ranked third at the box office chart.

UTV's earlier $8 million co-production with Fox, "Namesake" had grossed $18 million at the worldwide box-office and almost an equal amount from the home video and TV syndication.

Considering its theatrical performance so far, "The Happening" may be expected to do equally well in the home video market and also on TV syndication.

UTV and Disney - a formidable pairing!

In one of the largest media and entertainment foreign investments into India, The Walt Disney Company (Southeast Asia) Pte Ltd (“TWDC”), a subsidiary of The Walt Disney Company, is to invest approximately INR 805 crores (USD 203 million) into UTV Software Communications Limited (“UTV”). At the same time TWDC will also invest with UTV in UTV Global Broadcasting Limited (“UGBL”) by acquiring a 15% stake worth ~ INR 119 crores (USD 30 million). TWDC’s investments in UTV and UGBL, together with the warrants to be issued to Ronnie Screwvala’s Promoter Group, of INR 390 crores after exercise, makes this total deal size about INR 1,314 crores (~USD 330 million). The transaction will be done through a preferential allotment to TWDC and the Promoters as per the SEBI regulations and will require a Public Announcement to all UTV shareholders. The investment and the open offer are subject to shareholder and regulatory approvals.

This investment further establishes TWDC’s entry into the Indian market and complements the fast-growing Disney-branded businesses and long-held joint-venture in ESPN STAR Sports. As a result of this investment, TWDC’s stake in UTV will go up from 13.7% to 32.1% on a fully diluted share capital basis. The number of shares expected to be issued as part of the transaction is 9,352,500 at a price of INR 860.79. This is based on SEBI preferential allotment pricing formula with a 5% premium.
Ronnie Screwvala, the Founder Promoter and Group CEO of UTV consolidates Promoters’ stake with an issue of 4,532,000 warrants at the same price as TWDC of INR 860.79, investing INR 390 cores after exercise.
At the same time TWDC will invest approximately INR 119 crores (USD 30 million) for a 15% stake in UGBL. UTV will also invest INR 240 crores (~USD 60 million) for a 75% stake in UGBL. The remaining 10% will continue to be held by Ronnie Screwvala’s Promoter Group. UGBL is the parent company for its two wholly owned subsidiaries, Genx Entertainment Limited and UTV Entertainment Television Limited. Genx has already launched successfully two youth entertainment channels through the Bindass brand, whilst UTV Television Entertainment Limited has just launched The World Movies channel and is about to launch UTV Hindi Movies channel.
